Frequently asked questions

What is an LLC operating agreement?

It's the internal rulebook for an LLC — who owns what, how profits are split, how decisions are made, and what happens if a member leaves or the business closes.

Do I need an operating agreement for a single-member LLC?

Most states don't file it, but banks often ask for one and it helps protect your limited liability by showing the business is separate from you. Just list yourself at 100%.

Member-managed vs. manager-managed: what's the difference?

In a member-managed LLC the owners run the business. In a manager-managed LLC, members appoint one or more managers (who may be members or outsiders) to run it.

Is this operating agreement template free?

Yes. Edit online and download the PDF with no sign-up. For complex ownership or investors, have a lawyer review it.
